Terms & Conditions

Please read these terms carefully before using Sellorra.

These Terms and Conditions ("Terms") govern your use of the Sellorra mobile application, website (sellorra.com), and all related delivery services (collectively, the "Services") provided by Sellorra Logistics Ltd ("Sellorra", "we", "us", or "our"), a company incorporated in Nigeria.

By downloading, registering, or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our Services.

1. Definitions

  • "Customer" means any individual or business entity that books a delivery via our Services.
  • "Rider" means an independent contractor registered on the Sellorra platform to fulfil deliveries.
  • "Order" means a delivery request placed by a Customer through the Services.
  • "Wallet" means the prepaid in-app balance held in a Customer's Sellorra account.

2. Eligibility

You must be at least 18 years of age to create an account and use our Services. By using our Services, you represent that you meet this requirement. Businesses using our B2B plans must be duly registered entities.

3. Account Registration

  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are liable for all activity that occurs under your account.
  • You must notify us immediately at [email protected] if you suspect unauthorised access to your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Booking and Deliveries

4.1 Placing Orders

When you place an Order, you confirm that the items to be delivered are lawful and do not fall under our prohibited items list (Section 5). You agree to be available at the pickup address at the scheduled time.

4.2 Pickup and Delivery

Sellorra connects you with independent Riders to fulfil deliveries. While we vet and monitor Riders, they are not employees of Sellorra. Estimated delivery times are not guaranteed and may vary based on traffic, weather, and other factors.

4.3 Failed Deliveries

If delivery cannot be completed because the recipient is unavailable or the address is incorrect, the order may be returned to the sender. Re-delivery fees may apply. Sellorra is not liable for delays caused by incorrect or incomplete delivery information provided by the Customer.

5. Prohibited Items

The following items may not be sent via Sellorra:

  • Illegal drugs, narcotics, or controlled substances
  • Firearms, ammunition, or weapons
  • Explosives or flammable materials
  • Live animals
  • Counterfeit goods or items infringing intellectual property rights
  • Human remains or organs
  • Pornographic material
  • Cash, negotiable instruments, or precious metals in excess of ₦100,000 in value without prior written consent
  • Any item prohibited by Nigerian law

We reserve the right to refuse, open, or return any package reasonably suspected to contain prohibited items, without refund of delivery fees.

6. Pricing and Payments

6.1 Fees

Delivery fees are calculated based on distance, parcel type, weight, and applicable promotions. The final price is displayed before you confirm an Order. Prices are inclusive of applicable VAT.

6.2 Payment Methods

Payments may be made via your Sellorra Wallet or through Paystack (card, bank transfer, USSD). All transactions are processed securely.

6.3 Wallet

Wallet funds are non-transferable and non-refundable except in cases of account closure, subject to verification. Sellorra reserves the right to adjust Wallet balances where fraud or error is detected.

6.4 B2B Subscriptions

B2B subscription plans are billed monthly. Unused orders within a billing cycle do not roll over unless otherwise stated in your plan. Subscriptions can be cancelled before the next billing date; no partial refunds are issued for the current month.

7. Cancellations and Refunds

  • Orders may be cancelled free of charge before a Rider is assigned.
  • Once a Rider has been assigned, a cancellation fee may apply.
  • If Sellorra or the Rider is unable to fulfil an Order due to circumstances within our control, a full refund will be issued to your Wallet.
  • Refunds for disputed charges are subject to investigation and may take up to 7 business days.

8. Liability and Limitation

8.1 Sellorra's Liability

Sellorra is not liable for:

  • Loss or damage caused by prohibited items, improper packaging, or incorrect delivery details provided by the Customer.
  • Indirect, consequential, or special damages arising from use of the Services.
  • Delays caused by force majeure events (e.g., traffic, natural disasters, government actions).

8.2 Maximum Liability

To the fullest extent permitted by Nigerian law, Sellorra's total liability for any claim arising from a single Order shall not exceed the delivery fee paid for that Order, or ₦50,000, whichever is lower.

8.3 Insurance

Customers sending high-value items are advised to arrange independent insurance. Sellorra does not provide transit insurance unless a separate agreement is in place.

9. Intellectual Property

All content, trademarks, logos, and software in our Services are owned by or licensed to Sellorra. You may not reproduce, distribute, or create derivative works without our written permission.

10. User Conduct

You agree not to:

  • Use the Services for any unlawful purpose.
  • Abuse, harass, or threaten Riders or Sellorra staff.
  • Manipulate ratings or reviews fraudulently.
  • Attempt to reverse-engineer, hack, or interfere with our platform.

11. Riders — Independent Contractors

Riders on the Sellorra platform are independent contractors, not employees of Sellorra. Sellorra does not supervise or direct Riders' specific delivery methods. However, all Riders must comply with Sellorra's Rider Code of Conduct and Nigerian traffic laws.

12. Dispute Resolution

Any dispute arising from these Terms or the Services shall first be submitted to Sellorra's customer support team for informal resolution. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, with arbitration seated in Lagos.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. The Federal High Court of Lagos State shall have exclusive jurisdiction over disputes not resolved by arbitration.

14. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via the app or email at least 14 days before changes take effect. Continued use of our Services after the effective date constitutes acceptance of the updated Terms.
